Proposition #1

Article VII, Section 1 article read as follows:

Number of Directors and Qualifications: The authorized number of Board members shall be sixteen (16). At all times membership on the Board for Directors shall include four (4) officers and twelve (12) members-at-large.

Article VII, Section 1 will be revised to read as follows:

Number of Directors and Qualifications: The authorized number of Board members shall be no less than thirteen (13) and no more than sixteen (16).  At all times the Board shall include four (4) officers and a minimum of nine (9) and a maximum of twelve (12) members-at-large (Directors).

Article VII, Section 2 read as follows:

Appointment of Directors: The elected officers shall appoint twelve (12) members-at-large to the Board of Directors at the outset of the concurrent term of office.

The changes to Article VII, Section 2 will be revised to read as follows:

Appointment of Directors: The elected officers shall appoint a minimum of nine (9) and a maximum of twelve (12) members-at-large to the Board of Directors at the outset of the concurrent term of office.

Article VII, Section 5 read as follows:

Function of the Board of Directors: The Board of Directors shall formulate, enact, and monitor the policies of the Club.  The Board shall act responsively to the general membership.  The Board of Directors shall have exclusive authority to authorize expenditure of Club funds and to determine the Club financial policy.  Nine (9) Board members shall constitute a quorum at a Board of Directors’ meeting.

The changes to Article VII, Section 5 will be revised to read as follows:

Function of the Board of Directors: The Board of Directors shall formulate, enact, and monitor the policies of the Club.  The Board shall act responsively to the general membership.  The Board of Directors shall have exclusive authority to authorize expenditure of Club funds and to determine the Club financial policy. A simple majority of the current number of Board members shall constitute a quorum at a Board of Directors’ meeting.
